 Item 5.02.Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 22, 2022, Fabrice Egros, PharmD, Ph.D. notified Syndax Pharmaceuticals, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company (the “Board”) due to an increase in the scope of his role at Lupin Limited. Dr. Egros’ resignation from the Board is effective February 23, 2022 and is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Following Dr. Egros’ resignation, the Board appointed Dennis G. Podlesak as a member of the Audit Committee.
